1. About these terms

These Terms of Use apply to your use of the website at https://camkey.org and any related pages (the Website), which is operated by CamKey Systems Pty Ltd (CamKey, we, us, our).

By using the Website, you agree to these terms. If you do not agree, please do not use the Website.

These terms cover use of the Website only. Our products and services are supplied under separate written agreements. If those agreements conflict with these terms, those agreements apply.

2. About the Website

The Website provides general information about CamKey and our QR smart lock products for hotels, serviced apartments and short-stay rentals. It also lets you contact us, including through our enquiry form, “Talk to Sales” and “Investor Enquiry” options.

You cannot buy products through the Website. Information on the Website, including any product descriptions, features, specifications, availability or pricing, is not an offer to sell and does not form a contract. Any supply of products or services will be under a separate written agreement.

3. Investor information

Nothing on the Website is an offer of securities, financial product advice or a recommendation to invest in CamKey. Any investment will only be made through formal documents and in accordance with applicable law. You should get your own independent financial, legal and tax advice before making any investment decision.

4. Intellectual property

Our content. The Website and its content, including text, graphics, logos, images, videos, designs, layout and software, are owned by or licensed to CamKey and are protected by Australian and international intellectual property laws.

Patents. CamKey’s technology is protected by patents, including Australian patent 2022360024 and US patent 12,567,296, with other applications pending. Nothing on the Website grants you any licence or right under any CamKey patent.

Trade marks. “CamKey” and the CamKey logo are trade marks of CamKey Systems Pty Ltd. Other trade marks shown on the Website belong to their respective owners. You must not use our trade marks without our prior written permission.

What you may do. You may view, download and print pages from the Website for your own personal or internal business use, for example to consider our products. You must not otherwise copy, reproduce, modify, distribute, publish or create derivative works from any part of the Website without our prior written permission, except as permitted by law (such as fair dealing under the Copyright Act 1968 (Cth)).

5. Acceptable use

When using the Website, you must not:

  • break any law or infringe anyone’s rights;
  • submit information that is false, misleading, offensive, defamatory or unlawful, or that belongs to someone else without their permission;
  • use the enquiry form or our contact details to send spam or unsolicited advertising;
  • try to gain unauthorised access to the Website, its servers or any connected system or network;
  • introduce viruses, malware or other harmful code;
  • interfere with or disrupt the Website, including by overloading it or carrying out denial-of-service attacks;
  • use robots, scrapers or other automated tools to collect content or data from the Website without our permission;
  • reverse engineer any part of the Website, except to the extent permitted by law; or
  • use the Website to develop a competing product or to infringe our intellectual property.

We may suspend or restrict access to the Website, or block communications, if we reasonably believe you have breached these terms.

6. Information you send us

When you send us information through the Website, you confirm that it is accurate and that you are entitled to provide it.

Please do not send us confidential information, or ideas or suggestions you want to protect, through the Website. Unless we agree otherwise in writing, we are not obliged to keep unsolicited ideas or suggestions confidential, and we may use them freely.

7. Disclaimers

We try to keep the Website accurate and up to date, but the content is general information only. It is not professional, technical, security or installation advice, and it may not suit your particular property or circumstances. Product features, specifications, images and availability may change without notice, and images may be illustrative only.

To the extent permitted by law, we do not guarantee that:

  • the Website or its content is complete, accurate, current or error-free;
  • the Website will be available at all times or without interruption; or
  • the Website is free of viruses or other harmful components.

You are responsible for using appropriate security software and for making your own enquiries before relying on any information on the Website.

8. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other law, that cannot lawfully be excluded, restricted or modified (Non-excludable Rights).

9. Limitation of liability

To the extent permitted by law, and subject to your Non-excludable Rights:

  • we exclude all conditions, warranties and guarantees that would otherwise be implied into these terms;
  • we are not liable for any loss or damage (including indirect or consequential loss, loss of profit, loss of data or loss of opportunity) arising from or in connection with your use of, or inability to use, the Website, any content on it, or any linked website, however caused, including by negligence; and
  • where our liability for breach of a Non-excludable Right can be limited, our liability is limited, at our option, to supplying the relevant services again or paying the cost of having them supplied again.

Nothing in this section limits our liability under any separate written agreement for our products or services. That liability is governed by that agreement.

10. Indemnity

To the extent permitted by law, you agree to indemnify CamKey against any loss, damage, cost or expense (including reasonable legal costs) that we suffer or incur because of your breach of these terms or your unlawful use of the Website, except to the extent caused by our own negligence or breach.

11. Links to other websites

The Website may contain links to third-party websites, such as social media pages, partner sites or news articles. We provide these links for convenience only. We do not control, endorse or take responsibility for third-party websites, their content, or their privacy practices. Your use of them is at your own risk and subject to their terms.

You may link to the Website’s home page, provided you do so in a fair and lawful way that does not damage our reputation or suggest any association, approval or endorsement by us that does not exist. We may withdraw this permission at any time.

12. Changes to these terms and the Website

We may change these terms from time to time by publishing an updated version on the Website with a new effective date. The updated terms apply from that date. Please check this page regularly. Your continued use of the Website means you accept the updated terms.

We may also change, suspend or discontinue any part of the Website at any time without notice.

13. Governing law and jurisdiction

These terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts that can hear appeals from them.

If you access the Website from outside Australia, you are responsible for complying with your local laws.

14. General

If any part of these terms is found to be invalid or unenforceable, it will be read down or severed to the extent necessary, and the rest of these terms will continue to apply.

If we do not enforce a right under these terms, that does not mean we have waived it.
